Intellectual Property

Ownership of Intellectual Property. All intellectual property related to Club505, including but not limited to source code, software, designs, graphics, data, documentation, and any modifications or improvements to the foregoing, shall be owned exclusively by Company.

Use of Intellectual Property. User shall not use, copy, modify, distribute, or create derivative works based on any intellectual property related to Club505 without the express written consent of Company.

Confidentiality. User shall not disclose any confidential information about Company or its business or operations to any third party without the prior written consent of Company.

Indemnification. User shall indemnify and hold Company harmless from any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with any unauthorized use of Company's intellectual property by User.

Termination. Company may terminate this Agreement at any time for any reason upon notice to User.

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.

Entire Agreement. This Agreement contains the entire understanding of the parties and supersedes all prior negotiations and understandings, whether oral or written, relating to the subject matter of this Agreement.

By accessing or using Club505, User acknowledges and agrees to be bound by the terms of this Agreement.
